# NDA e-signature before data room access in Peony

NDA e-signature gates have been in Peony's virtual data room since February 2, 2026: a visitor signs an NDA inside Peony before a document or data room opens, and the signed PDF is stored with an audit log. Signed NDAs are on the Data Room plan and above, and acknowledge-only NDAs on Business and above.

## What does it do?

An NDA gate puts an agreement in front of a link or data room. With the signed (advanced) mode, the visitor signs the NDA in Peony, and only then sees the content. Each signature is recorded with a timestamp, IP address and a verification hash.

## Who is it for?

Sell-side advisors sending teasers and CIMs to buyers, companies sharing confidential plans with partners, and founders who require an NDA before a data room opens.

## How does it work?

1. Upload your NDA or pick a template.
2. Turn on the NDA gate on a link or data room and choose acknowledge-only or signed.
3. Visitors sign before access; signed copies appear in the **Signatures** view.

Follow-ups: NDA analytics (February 9, 2026), an **Initial** field type for agreements (March 7, 2026) and an in-app PDF viewer for reading the NDA before signing (March 12, 2026).

## Which plans include it?

## How does it compare?

Yes. Peony can gate a link or data room behind an NDA. Acknowledge-only NDAs are on Business and above; signed NDAs with a stored PDF and audit log are on Data Room and above. Peony added NDA e-signature on February 2, 2026.

### Does a visitor need another e-signature tool to sign the NDA?

No. The visitor signs inside Peony before access, and the signed PDF and its audit log are saved in Peony.
