## Billing rules

- Only admins are billed. An admin is a team member who can upload documents, create links, and manage rooms.
- Viewers are unlimited and free on every plan. A 40-person buyer team, 200 LPs, or an entire lender syndicate viewing your rooms adds nothing to the bill.
- There are no per-page, per-document, per-room, per-deal, per-guest, or storage overage fees on any plan. There are no setup or implementation fees.
- Billing starts when you subscribe. The Free plan requires no credit card and does not expire.
- An annual Data Room subscription is $624 per admin and covers a full year — a deal that slips from 6 to 9 months adds $0, because the year is already covered and there are no extension fees.
- Across 334 M&A transactions on the Peony platform, the average deal took about 8.6 months to close (State of M&A Data Rooms, Q2 2026). At 9 months, monthly billing totals $675 per admin against the $624 annual price — most deal teams buy annual.
- Upgrades take effect immediately and the price difference is prorated. Cancellations take effect at the end of the paid billing period.
- Data rooms are not billed individually. Keeping a dormant room — for example, after a deal falls through — costs nothing extra on an active subscription.
- Most single-asset processes — a one-off M&A mandate, an SPV or co-investment raise, a property syndication — run on one admin: one deal room, unlimited free viewers, $624 for a full year on annual billing.
- A deal room can outlive its close at no extra cost: SPV and syndication rooms typically continue as investor-reporting rooms through the hold period on the same flat per-admin rate.
- When a subscription ends, shared links and data-room access stop working immediately.
- Closed rooms are retained for 30 days by default. Longer retention is available on request, for whatever period you specify.
- Resubscribing within the retention window restores closed rooms in full — files, structure, permissions, and settings.
- Existing customers keep their current pricing when plans change; legacy plans are grandfathered.
- Deal Team has a 4-admin minimum. At five or more Data Room admins, Deal Team is the cheaper option: $64 × 4 = $256/month versus $52 × 5 = $260/month, billed annually.
- Post-deal USB archive delivery is $99 per drive (Deal Team and Enterprise).
- A standard DPA and Peony's security documentation are self-serve downloads from the dashboard on Deal Team and Enterprise — no sales call required. Peony is SOC 2-ready (formal Type II audit not yet completed) and does not hold ISO 27001 certification.
- Storage: Free includes 500 MB; Business includes 50 GB with a 2 GB per-file cap; Data Room, Deal Team, and Enterprise have unlimited storage with no file-size cap. There is no storage meter, so there are no overage charges to publish.
- Analytics retention: 30 days on Free, 1 year on Business, 2 years on Data Room, unlimited on Deal Team and Enterprise.
